GENERAL TERMS OF SALE — HOST SUBSCRIPTION
1. Scope and Purpose
1.1. These general terms of sale (hereinafter the "CGV" or "General Terms of Sale") govern the subscription to CozyUp's Host services. They constitute the contractual framework applicable to any Host subscribing to a paid plan on the CozyUp platform.
1.2. These CGV complement and do not replace the general terms of use (the "CGU") available at cozyup.com/terms-of-use. In the event of a conflict between the CGU and these CGV with respect to subscription-related matters, the CGV shall prevail.
1.3. For the purposes of these CGV, the following definitions apply:
- "Host Subscriber" refers to any individual or legal entity that subscribes to a paid CozyUp Host plan to manage short-term rental properties and related services through the platform.
- "Subscription Plan" refers to the service tier selected by the Host Subscriber (e.g., Starter, Pro, or Enterprise), each offering different features and capacities.
- "Billing Period" refers to the recurring interval (monthly or yearly) during which the Host Subscriber is charged for the Subscription Plan.
2. Description of Subscription Services
2.1. CozyUp provides a software-as-a-service (SaaS) platform offering a comprehensive management suite for short-term rentals. Services include, but are not limited to:
- property and reservation management;
- an AI agent capable of automatically responding to guests;
- automated check-in management via a guest app (check-in forms, ID collection, and security deposit handling);
- additional services (upsells) offered to guests;
- third-party partner integration for local services;
- payment processing and invoicing;
- analytics and business management tools.
2.2. The features and functionalities available to the Host Subscriber depend on the Subscription Plan selected. A detailed description of each plan's features is available on the CozyUp pricing page and may be updated from time to time.
2.3. CozyUp reserves the right to modify, add, or remove features from any Subscription Plan with reasonable prior notice (no less than thirty (30) days for material changes). Such modifications do not constitute grounds for termination or refund unless the changes materially reduce the core functionality of the subscribed plan.
3. Subscription and Account Creation
3.1. To subscribe to a Host plan, you must create a Host account on the CozyUp platform and select a Subscription Plan. Account creation requires providing accurate and complete information, including your full name (or company name), email address, and billing details.
3.2. You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account. You must promptly notify CozyUp of any unauthorized access to or use of your account.
3.3. Each subscription is personal and non-transferable. You may not assign, share, or sublicense your subscription to any third party without the prior written consent of CozyUp.
4. Pricing and Payment Terms
4.1. Subscription fees are charged on a recurring basis according to the Billing Period selected by the Host Subscriber (monthly or yearly). Yearly billing is offered at a discounted rate compared to monthly billing, as indicated on the pricing page.
4.2. Pricing is based on a per-property tiered model. The applicable rate depends on the number of properties managed through the Host Subscriber's account and the Subscription Plan selected.
4.3. All fees are due and payable in advance at the beginning of each Billing Period. Payment is processed automatically via the payment method on file.
4.4. Payments are processed through Stripe, a PCI-DSS compliant third-party payment processor. By subscribing, you agree to Stripe's terms of service in addition to these CGV. CozyUp does not store your full payment card details.
4.5. Invoices are generated automatically at the beginning of each Billing Period and are available for download in the Host Subscriber's account dashboard.
4.6. All prices are displayed exclusive of applicable taxes unless otherwise indicated. The Host Subscriber is responsible for any applicable VAT, sales tax, or other taxes required by their jurisdiction.
5. Free Trial
5.1. CozyUp may, at its sole discretion, offer a free trial period to new Host Subscribers. The duration and terms of the free trial, if any, will be communicated at the time of sign-up.
5.2. At the end of the free trial period, the subscription will automatically convert to a paid Subscription Plan unless the Host Subscriber cancels before the trial period expires. The Host Subscriber will be charged the applicable subscription fee for the selected plan upon conversion.
5.3. Only one free trial is permitted per Host Subscriber or legal entity. CozyUp reserves the right to determine eligibility for free trials and to decline or revoke a trial if abuse is suspected.
5.4. CozyUp may modify, suspend, or discontinue free trial offers at any time without prior notice.
6. Automatic Renewal
6.1. All subscriptions automatically renew at the end of each Billing Period for a subsequent period of the same duration, unless the Host Subscriber cancels the subscription before the renewal date.
6.2. Upon renewal, the subscription fee will be automatically charged to the payment method on file at the then-current price for the applicable Subscription Plan.
6.3. In compliance with Article L215-1 of the French Consumer Code, CozyUp will send a renewal reminder notification to the Host Subscriber:
- at least thirty (30) days before the renewal date for yearly subscriptions;
- at least seven (7) days before the renewal date for monthly subscriptions.
6.4. The reminder will inform the Host Subscriber of the upcoming renewal, the applicable fee, and instructions for cancelling the subscription if they do not wish to renew.
7. Subscription Cancellation
7.1. The Host Subscriber may cancel their subscription at any time through their account settings or by contacting CozyUp support at [email protected].
7.2. Cancellation takes effect at the end of the current Billing Period. The Host Subscriber will retain full access to all features of their Subscription Plan until the end of the paid period.
7.3. No early termination fee applies. Once a Billing Period has been paid for, the Host Subscriber is entitled to use the service for the remainder of that period regardless of when cancellation is initiated.
7.4. Upon the effective date of cancellation, the Host Subscriber's account will be downgraded and access to paid features will be suspended. Data retention following cancellation is governed by CozyUp's Privacy Policy.
8. No-Refund Policy
8.1. All subscription fees are non-refundable, except where required by mandatory applicable law.
8.2. If a Host Subscriber on a yearly plan cancels after the start of the Billing Period, no prorated refund will be issued for the remaining months. The Host Subscriber will continue to have access to the platform until the end of the yearly Billing Period.
8.3. If a Host Subscriber on a monthly plan cancels during a Billing Period, no refund will be issued for the remaining days of that month. The Host Subscriber will continue to have access until the end of the monthly Billing Period.
8.4. Exceptions to this no-refund policy may apply solely where mandated by applicable consumer protection laws in the Host Subscriber's jurisdiction.
9. Price Changes
9.1. CozyUp reserves the right to modify its subscription pricing at any time.
9.2. Price changes will not affect the current Billing Period. Any increase in fees will take effect at the start of the next renewal period following the change.
9.3. CozyUp will provide the Host Subscriber with at least thirty (30) days' advance written notice before any price increase takes effect. Notice will be sent via email to the address associated with the Host Subscriber's account.
9.4. If the Host Subscriber does not agree with the new pricing, they may cancel their subscription before the next renewal date in accordance with Section 7. Continued use of the service after the price change takes effect constitutes acceptance of the new pricing.
10. Payment Failure and Suspension
10.1. In the event of a failed payment at the time of renewal or during a Billing Period, CozyUp will attempt to process the payment up to three (3) additional times over a period of fourteen (14) days.
10.2. CozyUp will notify the Host Subscriber of the payment failure by email and request that they update their payment information within the retry period.
10.3. If payment remains unsuccessful after the retry period, CozyUp reserves the right to suspend the Host Subscriber's access to paid features until the outstanding amount is settled.
10.4. Access to the platform and all paid features will be restored promptly upon successful processing of the outstanding payment.
10.5. CozyUp reserves the right to terminate the subscription and close the account if payment remains unresolved for more than sixty (60) days after the initial failure.
11. Plan Changes (Upgrade/Downgrade)
11.1. The Host Subscriber may upgrade or downgrade their Subscription Plan at any time through their account settings.
11.2. Upgrades: When upgrading to a higher-tier plan, the change takes effect immediately. The Host Subscriber will be charged a prorated amount for the remainder of the current Billing Period, reflecting the difference between the current and new plan pricing.
11.3. Downgrades: When downgrading to a lower-tier plan, the change takes effect at the beginning of the next Billing Period. The Host Subscriber will retain access to the higher-tier features until the end of the current paid period.
11.4. No refund or credit will be issued for the difference in pricing resulting from a downgrade.
12. Right of Withdrawal (EU/French Law)
12.1. In accordance with Articles L221-18 et seq. of the French Consumer Code and Directive 2011/83/EU, Host Subscribers who are consumers have the right to withdraw from their subscription within fourteen (14) days of the initial subscription date, without giving any reason.
12.2. However, in accordance with Article L221-28 of the French Consumer Code, the right of withdrawal may be waived if the Host Subscriber has expressly consented to the immediate provision of the digital service and has acknowledged that doing so constitutes a waiver of their right of withdrawal.
12.3. At the time of subscription, the Host Subscriber will be asked to provide explicit consent to begin using the service immediately. By providing such consent, the Host Subscriber acknowledges that they waive their right of withdrawal once access to the platform's paid features has been granted.
12.4. If the Host Subscriber has not accessed or used any paid features of the platform, and the fourteen (14) day withdrawal period has not expired, they may exercise their right of withdrawal by contacting CozyUp at [email protected]. In such cases, CozyUp will process a full refund within fourteen (14) days of receiving the withdrawal request.
13. Acceptance of CGV
13.1. By subscribing to a CozyUp Host plan, the Host Subscriber acknowledges that they have read, understood, and accepted these General Terms of Sale in their entirety.
13.2. These CGV are complementary to the general terms of use. Together, they constitute the complete contractual framework governing the Host Subscriber's use of the CozyUp platform and subscription services.
